This proposal is presented by FLX FIT LLC to MEMBERS. This proposal is valid until June 11, 2026, after which FLX FITNESS reserves the right to change any part of the proposal, including services, deliverables, timing, and fees, upon notice to Client.

This proposal is non-binding and is intended to be an exhibit to a definitive agreement.

Services

Tasks & Deliverables

FLX FITNESS will perform the following services and provide the following deliverables:

Providing Fitness Guidance and Training Both In person and Over Virtual Visits.

Anything not expressly listed in this Proposal as a FLX FITNESS task or deliverable is out of scope.

Client shall ensure that FLX FITNESS has all necessary access to Client locations, credentials, and equipment needed to enable FLX FITNESS to complete the services. Client will be responsible for engagement by Client stakeholders and third-party contractors.

Client is also responsible for the following:

Change Orders

The tasks, deliverables, and fees will remain unchanged, except as agreed by Client and FLX FITNESS in writing. If there is a change in scope, unforeseeable delays, or Client materially fails to meet its obligations, Client and FLX FITNESS shall negotiate in good faith to modify the terms as needed.

Timing

Proposed Kickoff Date: April 11, 2023

The services will continue until terminated by Client and FLX FITNESS .

Fees & Payments

FLX FITNESS will perform the services on a custom-fee basis. FLX FITNESS 's fees for the services will be as follows:

Based On the Number of the avalibele spots in our transformation program.

Pricing does not include any applicable sales taxes or similar taxes.

FLX FITNESS will be responsible for its own business expenses incurred in the performance of the services.

Client will reimburse FLX FITNESS for the actual amount paid for out-of-pocket expenses pre-approved in writing by Client.

Billing

FLX FITNESS will invoice Client monthly in arrears.

FLX FITNESS shall send any other invoices, such as for reimbursements or otherwise, monthly in arrears. Payments on invoices are due within 1 day after the date of the invoice.

Term & Termination
The services will continue until their termination: either party may terminate the services at any time on 2 days' prior written notice. Upon any termination of the services, Client shall pay any invoices reflecting fees for work completed but not yet paid.
